Organisation terms
Last updated: 15 September 2026
These terms govern Morrow organisation workspaces supplied to schools, colleges, universities, employers and other organisations. They are contractual business terms, not Morrow's consumer Terms of Use.
1. Parties and contract documents
These terms are between Morrow Finance and the “Customer”: the organisation identified in an accepted order form, proposal, pilot confirmation or other written agreement for an organisation workspace. Morrow Finance's legal identity and contact details are set out in section 12.
The agreement consists of that written order or pilot confirmation, these Organisation Terms and the Data Processing Addendum. If they conflict, the order or pilot confirmation takes priority for commercial details, followed by the Data Processing Addendum for processing governed by UK data-protection law, then these terms.
2. Programme access and seats
Morrow will provide the workspace, programme features, access period and maximum number of active seats stated in the agreement. A seat is allocated to an active organisation member. Seats and access rights must not be resold, transferred outside the Customer's authorised learner or workforce population, or shared between people.
Organisation-funded Morrow+ is available only while the learner has an active membership and the Customer's applicable plan remains active. When that funded access ends, the learner's personal account may remain available at the access level then offered by Morrow.
3. Invitations and managers
The Customer will nominate authorised owners or managers. Managers may issue, restrict and revoke invitation codes, allocate available seats, view permitted learning reports and export those reports. The Customer is responsible for keeping manager access current, protecting invitation codes, restricting invitations to intended recipients and promptly removing access that is no longer authorised.
Managers must not invite anyone under 13. The Customer is responsible for having an appropriate lawful basis, providing its own privacy information and obtaining any authority required to enrol learners, including any safeguarding or parental arrangements that apply to its programme.
4. Learner reporting and privacy boundaries
Approved managers can see organisation membership details, learner names, lesson completion, quiz scores, course progress, certificates and recent learning activity. Where Morrow Exam is enabled, managers may also see derived attempt counts, estimated marks and assessment-objective trends. Morrow does not provide managers with raw written exam answers, narrative AI feedback, private Money-tool entries, passwords, dates of birth, personal payment information or unrelated personal account activity.
Each party must comply with applicable data-protection law. Their roles depend on the processing concerned: the Customer is normally controller and Morrow processor for Customer-directed membership and reporting; Morrow is an independent controller where it determines why and how information is used to operate accounts, secure the platform, administer Morrow's service and legal obligations, or manage its own billing and enquiries.
5. Learning content and certificates
Morrow provides educational content and completion assessments. A Morrow certificate records completion of the identified Morrow pathway and its assessment requirements. It is not a regulated or accredited qualification, degree, professional licence, guarantee of competence or evidence of FCA authorisation.
Financial content is general education, not personal financial or investment advice. The Customer must not describe Morrow or its certificates inconsistently with these limitations.
AI-generated exam feedback is formative revision support, may be inaccurate and is not official examination marking or a regulated assessment result. Teachers and schools must not rely on it as one. Morrow may use a third-party AI service to provide this functionality. The Customer must not instruct learners to submit special-category information, confidential information or unnecessary personal information in exam-practice answers. Teachers remain responsible for professional judgement and should review Morrow's output alongside the learner's work and applicable official assessment materials. A pilot Customer may participate in question, rubric or feedback calibration only where that activity and its data handling are separately agreed.
6. Acceptable use
The Customer and its users must use Morrow lawfully and must not share credentials, bypass age or access controls, probe or disrupt security, upload malicious material, scrape the service, misuse personal data, infringe rights, or copy or republish a substantial part of Morrow's content. The Customer will reasonably cooperate in investigating suspected misuse affecting its workspace.
7. Fees, renewal and changes
Fees, taxes, invoicing or Stripe billing arrangements, payment dates, access period and any renewal terms are those shown in the accepted agreement before purchase. A paid plan renews automatically only where that is clearly stated and agreed. A free pilot does not automatically become a paid plan unless the parties agree otherwise.
Morrow may change the service to improve it, address security or legal requirements, or replace features. Morrow will not materially reduce a paid programme during its agreed access period without a reasonable substitute or other remedy agreed with the Customer.
8. Suspension and termination
Either party may terminate as stated in the accepted agreement. If no separate term is stated, either party may end a pilot on written notice. Morrow may suspend affected access where reasonably necessary for security, unlawful use, material breach or overdue undisputed fees, giving notice where reasonably practicable. For a remediable material breach, the breaching party will normally have 14 days after written notice to remedy it before termination.
On termination, organisation-funded access and manager reporting end. Provisions intended to survive—including accrued payment obligations, confidentiality, intellectual property, data protection, liability and governing law—continue to apply.
9. Intellectual property
Morrow and its licensors retain rights in the platform, branding, lessons, assessments, reports and documentation. During the agreement, the Customer receives a limited, non-exclusive, non-transferable right for authorised users to access the contracted service. The Customer retains rights in information it supplies and permits Morrow to process that information only as needed to provide the agreement and as otherwise described for Morrow's independent-controller activities.
10. Availability and support
Morrow will use reasonable care and skill in providing the service. Hosting, authentication, email and payment features depend on third-party services and internet availability. Maintenance, security work and events outside reasonable control may interrupt access. No service level, response time, uptime percentage or particular support coverage applies unless it is expressly included in the accepted agreement.
11. Liability
Nothing excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Subject to that, neither party is liable for indirect or consequential loss. Morrow is not responsible for decisions made from general educational content or for loss caused by the Customer's unauthorised use, inaccurate instructions or failure to manage its users and invitations.
Unless the accepted agreement states a different limit, Morrow's total aggregate liability arising from the organisation service will not exceed the fees paid or payable by the Customer for that service in the 12 months preceding the event giving rise to the claim. This paragraph does not restrict obligations or liability to the extent they cannot lawfully be limited.
12. Legal identity, governing law and contact
Morrow Finance is the trading name of Iain Michael Heap, a sole trader in the United Kingdom. Its correspondence address is 4 Stoneyfalls Lane, Ballyhalbert, BT22 1FL, United Kingdom.
The agreement is governed by Northern Irish law and the courts of Northern Ireland have exclusive jurisdiction, unless the accepted agreement expressly provides otherwise.
